Terms of Service

The rules for using Scout Suite.

These Terms of Service ("Terms") are a contract between you and Everycast Labs Ltd (company number 13499076) ("we", "us", "our"). They govern access to and use of Scout Suite at nimbleape.eu.ngrok.ioand related services (the "Service"). By creating an account or using the Service, you agree to these Terms.

If you use Scout Suite on behalf of a scout group, district, county or other organisation, you confirm that you have authority to bind that organisation. "Customer" means the organisation that subscribes to or uses the Service.

1. The Service

Scout Suite provides online software for managing scout groups, including membership, finance, badges, events, safety, communications, parent access and related features. We may add, change or remove features from time to time.

The Service is provided for lawful use by UK Scout groups and related organisations. It is not affiliated with, endorsed by, or operated on behalf of The Scout Association unless we expressly state otherwise.

2. Accounts and access

  • You must provide accurate account information and keep credentials secure.
  • You are responsible for activity under your account and for configuring roles and permissions appropriately within your organisation.
  • You must be at least 18 years old to create an administrator account, unless a parent or carer account is expressly provided for managing linked children.
  • We may suspend or terminate access if we reasonably believe these Terms have been breached or the Service is being misused.

3. Customer responsibilities

Customers are responsible for:

  • the accuracy, lawfulness and appropriateness of data entered into the Service, including member, parent and volunteer information;
  • obtaining any consents, permissions and safeguarding approvals required for their activities;
  • maintaining their own privacy notices and policies for members and parents where required;
  • ensuring only authorised people have access to sensitive records such as medical, safeguarding and finance data;
  • complying with charity law, data protection law and Scout safeguarding requirements.

4. Acceptable use

You must not:

  • use the Service for unlawful, harmful or fraudulent purposes;
  • attempt to access data or accounts you are not authorised to access;
  • interfere with or disrupt the Service, including by introducing malware or abuse;
  • scrape, reverse engineer or copy the Service except as permitted by law or API terms;
  • upload content that infringes third-party rights or contains unlawful material;
  • use the Service to send spam or unsolicited marketing without proper consent.

5. Subscriptions and payment

Some features require a paid subscription. Prices, trial periods and billing intervals are shown at checkout or on our pricing page. By starting a subscription, you authorise us and our payment providers to charge the applicable fees.

  • Subscriptions renew automatically unless cancelled in accordance with the billing flow.
  • District and county central billing may cover groups linked to that organisation, as configured by authorised administrators.
  • Except where required by law, fees are non-refundable once a billing period has started.
  • We may change prices on reasonable notice before a renewal period.

6. Data protection

Our Privacy Policy explains how we handle personal data. Where we process personal data on behalf of a Customer, the Customer is the data controller and we act as processor. Customers must not upload unnecessary special category data unless they have a lawful basis and appropriate safeguards.

7. Intellectual property

We own the Service, software, branding and documentation. Customers retain ownership of their data. You grant us a limited licence to host, process and display Customer data solely to provide and improve the Service.

8. Availability and support

We aim to keep the Service available and secure, but we do not guarantee uninterrupted or error-free operation. Maintenance, updates and outages may occur. Support is provided on a reasonable-efforts basis via feedback@scoutsuite.app.

9. Disclaimers

The Service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose and non-infringement. Scout Suite does not provide legal, safeguarding, medical, accounting or charity compliance advice.

10. Limitation of liability

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be limited under applicable law.

Subject to the above, we are not liable for indirect or consequential loss, loss of profits, loss of data, or loss of opportunity. Our total liability arising out of or relating to the Service in any 12-month period is limited to the greater of (a) the fees paid by the Customer in that period or (b) £100.

11. Termination

You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms, fail to pay fees, or if continuing the Service becomes impractical for legal or security reasons. On termination, access may end and data may be deleted after any applicable retention period.

12. Changes

We may update these Terms from time to time. We will post the updated version on this page and update the effective date. Continued use after changes take effect constitutes acceptance, except where law requires explicit consent.

13. Governing law

These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, except where mandatory consumer protection laws in your country give you different rights.
